NDA Negotiator, Administration

Our client, a major multinational mass media and information client is currently recruiting a NDA Negotiator for a 6 month initial contract based in London. We are looking for someone to start in the beginning of January.

Job Description:

NDA Administration and negotiation

  • Checking if master/upstream NDA is in place
  • Providing relevant information/documentation to Legal i.e. credit agreement, upstream NDA, confirmation as to whether CS is lender of record (LoR)
  • Completing details in the NDA or schedule to master (i.e. counterparty names and reference asset); making amendments to NDA form as requested by Legal and sending out NDAs to counterparty
  • Negotiation of the NDAs, using the NDA Playbook principles, with the counterparty until NDAs are in agreed form
  • Escalating issues to Legal, such as changes which would result in an NDA not being in substantially the same or equivalent form
  • Arranging for signing NDAs
  • Storage, tracking and retrieval of NDAs
  • Checking and sending out information under appropriate signed and dated downstream NDAs
  • Logging key obligations- term, ability to downstream, governing law/jurisdiction, master/non-master, receiving/disclosing, counterparties, ability to disclose internally and externally, any unusual terms

Legal Analysis in relation to NDAs

As the candidate progresses in the role, the following tasks can be added with appropriate supervision from Legal:

  • Advising on ability to downstream and the correct from of NDA (including master NDAs and electronic click through). This requires (1) if CS is not LoR, (i) a review of the terms of the upstream NDA; and (ii) checking that the upstream NDA is in the correct form by checking the relevant credit agreement received after the upstream NDA has been signed and the confidential information received; or (2) if CS is LoR, a review of the confidentiality provisions (including definitions) and governing law of the relevant credit agreement
  • Advising on any mismatches or "gaps" between upstream NDAs and the relevant credit agreement
  • Advising on any trading restrictions (e.g. white/black lists), conditions, consents, notifications to transfer, assignment, sub-participation or other hedging restrictions
  • Liaising with foreign counsel (internal and external) in respect the same issues as above in respect of foreign governing law documentation and specific local law reference and issues
  • Inclusion of BRRD language for NDAs governed by laws outside of the EEA where CS enters into a liability
  • Liaising with the business regarding advice provided by Legal on common law of confidence
  • Dealing with ad hoc issues

Candidate Profile:

Ideal candidates for this position should competently demonstrate the following:

  • A proven record of completing complex documentation within very tight time deadlines.
  • Meticulous attention to detail and strong analytical, drafting, and communication skills.
  • Experience with negotiating NDA's is required
