Company Secretary

Central London

Up to £75,000 per annum + Bonus

We are looking to recruit a Company Secretary for a fantastic new opportunity to join our global team working from our prestigious Central London Headquarters in Canary Wharf.

Thomson Reuters is a multinational media and information business that supports organisations in the financial and risk, legal, tax and accounting, intellectual property, and science and media markets.

The role of the company secretary will be to manage Thomson Reuters' company secretarial function for its subsidiaries in the UK, elsewhere in EMEA and Asia-Pacific, working with other company secretaries and cross-functional teams within Thomson Reuters as well as outside advisors

Responsibilities

  • Act as company secretary to various subsidiaries
  • Assist with day-to-day subsidiary company secretarial matters, including director changes, share issues, dividends, annual meetings, reviews of annual accounts, etc.
  • Act as a point of contact for a wide range of company secretarial-related queries
  • Assist with drafting and coordinating relevant documentation for intercompany reorganisations
  • Oversee and handle ordinary course regulatory filings (electronic and paper) with Companies House and other regulatory authorities
  • Work with others to update and maintain Thomson Reuters' global group structure charts
  • Oversee the updating of global company secretarial records in the company's Blueprint OneWorld database
  • Assist lawyers and other legal professionals in the Thomson Reuters Legal Department and outside counsel with due diligence and other aspects of M&A transactions
  • Provide support/back-up for other company secretarial team members when required
  • Perform online research as needed
  • Support various special projects in the Legal Department

Education/Qualifications

  • Educated to degree level or equivalent
  • Institute of Chartered Secretaries and Administrators (ICSA) qualified
  • Good working knowledge of the UK Companies Act 2006
  • Previous company secretarial experience
  • Understanding of company secretarial functions of a global organisation
  • Excellent interpersonal and communication skills
  • Strong analytical and decision-making skills, excellent attention to detail and highly organised
  • Ability to work as part of a global team and as an individual contributor
  • Experience using Blueprint OneWorld or similar company secretarial software
  • Excellent PC skills (Word, Outlook, Excel and PowerPoint); knowledge of Microsoft Teams, Visio and document assembly software, a plus
